SOFTWARE LICENCE AGREEMENT (EULA)

This "software license agreement" applies to the

standard-licensed version of "DomaiNIC".

If you have an evaluation version of "DomaiNIC", see the

section below titled "DomaiNIC Evaluation License".

SOFTWARE LICENCE AGREEMENT (EULA)

1.This Software license agreement for grant of Non-

SOFTWARE LICENCE AGREEMENT (EULA)

This "software license agreement" applies to the

standard-licensed version of "DomaiNIC".

If you have an evaluation version of "DomaiNIC", see the

section below titled "DomaiNIC Evaluation License".

SOFTWARE LICENCE AGREEMENT (EULA)

1.This Software license agreement for grant of Non-

exclusive License for use of the Software called

"DomaiNIC" is a legal agreement between you, the

LICENSEE also known as the end-user

(hereinafter called "LICENSEE") and ITAZ.

2.By using THIS SOFTWARE or storing this programme

"DomaiNIC" (hereinafter called "THIS SOFTWARE") on

a Computer hard drive (or other media), LICENSEE will

be bound by the terms of this Agreement.

3.THIS SOFTWARE is protected by copyright laws and

international copyright treaties, as well as other

intellectual property laws and treaties. THIS SOFTWARE

is licensed, and not sold.

4.ITAZ grants to the LICENSEE non-exclusive, personal

license to make and use one copy of THIS SOFTWARE in

the manner provided below and to use THIS SOFTWARE on

following conditions: -

a)Load THIS SOFTWARE into and use it on a single

computer.

b)The LICENSEE shall not use the Software on a

network server for the purpose of distribution to one

or more other computer(s) on that network or to

effect such distribution.

c)LICENSEE shall not alter, modify, change, adapt,

merge, translate THIS SOFTWARE in any way including

changing and removing any messages or windows.

d)LICENSEE shall not de-compile, reverse engineer,

disassemble or otherwise reduce THIS SOFTWARE to

human perceivable form.

e)LICENSEE shall not rent, re-sale, license, lease, loan

or transfer, alienate THIS SOFTWARE in any manner for

profit or otherwise.

f)LICENSEE shall not create derivative work based on

THIS SOFTWARE.

g)LICENSEE shall not publicise or distribute any

registration code, algorithms, information and

registration key used by THIS SOFTWARE without the

written permission of ITAZ.

h)THIS SOFTWARE is licensed as a single product and

neither the software programmes making up THIS SOFTWARE

nor any UPDATE shall be separated for use.

i)ITAZ has and reserves all the rights in THIS SOFTWARE

including title, copyright and all the intellectual

property rights. All title and copyrights in and to

this Software (including but not limited to any images,

photographs, animations, video, audio, music, text,

help files and "applets" incorporated into THIS

SOFTWARE), the accompanying printed materials, and

any copies of THIS SOFTWARE are owned by ITAZ. THIS

SOFTWARE is protected by copyright laws and

international treaty provisions. The LICENSEE must

treat the THIS SOFTWARE like any other

copyrighted material except that LICENSEE may either

(i) make one copy of THIS SOFTWARE solely for backup

purely as temporary protection or,

(ii) install THIS SOFTWARE on a single computer

provided LICENSEE keep the original solely for backup or

archival purposes.

LICENSEE may not copy the printed materials

accompanying THIS SOFTWARE.

j)THIS SOFTWARE and any related documentation is

provided "As is" to LICENSEE. ITAZ does not warrant

that the Software will be uninterrupted or error-free

or that the defects or the deficiencies in the

Software will be corrected. All express or implied

conditions, representations, conditions,

undertakings, terms, obligations and warranties

implied by the statute, law, usage, course of dealing

or otherwise including any implied warranty or

merchantability, satisfactory quality, fitness for a

particular purpose, or non-infringement, are

disclaimed by ITAZ, except to the extent that such

disclaimers are held to be legally invalid. The entire

risk arising out of use or performance of this

Software remains with LICENSEE.

k)The LICENSEE can terminate this EULA by destroying

all copies of THIS SOFTWARE and stop using THIS SOFTWARE

Without prejudice to any other rights, ITAZ may terminate

this EULA if the LICENSEE fails to comply with the terms

and conditions of this EULA. In such event, LICENSEE must

destroy all copies of THIS SOFTWARE and stop using THIS

SOFTWARE.

l)ITAZ shall not be liable for any liabilities or damages

including special, direct, indirect or consequential

damages, loss of profits, business interruption, loss

of business information, or any other pecuniary loss

whatsoever arising out of use or inability to use THIS

SOFTWARE. Because some states / jurisdictions do not

allow the exclusion or limitation of liability for

consequential or incidental damages, the above

limitation may not apply to LICENSEE. In this case

ITAZ will only be liable for the amount of money

actually paid by the LICENSEE for THIS SOFTWARE.

m)This Agreement will be governed by the Law of India

and subject to Mumbai (Bombay) jurisdiction.

ADDITIONAL USER LICENSE AGREEMENT

The ADDITIONAL USER LICENSE AGREEMENT is same as the

SOFTWARE LICENCE AGREEMENT (EULA) as above except

clause 4(a) of the EULA will be read as under

depending on purchase of the type and number of

ADDITIONAL USER LICENSES. The rest of the terms and

conditions of the EULA will remain same.

USER :

CLAUSE 4(a) will be:

Additional 1 user

load THIS SOFTWARE into and use it on one computers.

Additional 2 users

load THIS SOFTWARE into and use it on two computers.

Additional 3 users

load THIS SOFTWARE into and use it on three computers.

Additional 5 users

load THIS SOFTWARE into and use it on five computers.

Additional 25 users

load THIS SOFTWARE into and use it on twenty-five computers.

"DomaiNIC" EVALUATION LICENSE

This "Software License Agreement" applies to the evaluation

version of "DomaiNIC". If you do not have an evaluation

version of "DomaiNIC", see the section above titled

"SOFTWARE LICENCE AGREEMENT (EULA)"

"DomaiNIC" EVALUATION LICENSE

1."DomaiNIC"(hereinafter called "THIS SOFTWARE") is not

free software. Subject to the terms below, you

(the LICENSEE) are hereby licensed by ITAZ to use THIS SOFTWARE

only for evaluation purposes without charge for

a period of 15 days.

2.If you use THIS SOFTWARE after the period of 15 days

then you need to register with ITAZ by paying registration

fees as per the user license. For more information on

registration charges see the ITAZ site at www.itaz.com.

3.Unregistered use of "DomaiNIC" after the 15-day evaluation

period is in violation of the terms and conditions of the

license agreement, copyright laws and international treaty

provisions.

4.You may, without making any payment to ITAZ:

a)Distribute evaluation version of THIS SOFTWARE freely

on online services, bulletin boards or any other electronic

media as long as the files are distributed in their entirety

along with the copy of this license agreement and all the

copyright and proprietary notices.

b)Give exact copies of the evaluation version of

THIS SOFTWARE personally to anyone, except for the purpose

of extending their 15 day evaluation period.

c)Make as many exact copies of the evaluation version of

THIS SOFTWARE as you wish, for the purposes of distribution

as described in (a) and (b) above.

5.YOU ARE SPECIFICALLY PROHIBITED FROM CHARGING, OR

REQUESTING DONATIONS, FOR ANY COPIES, HOWEVER MADE, AND

FROM DISTRIBUTING SUCH COPIES WITH OTHER PRODUCTS OF ANY

KIND, COMMERCIAL OR OTHERWISE, WITHOUT PRIOR WRITTEN

PERMISSION FROM ITAZ. ITAZ RESERVES THE RIGHT TO REVOKE THE

ABOVE DISTRIBUTION RIGHTS AT ANY TIME, FOR ANY OR NO REASON.

6.THIS SOFTWARE is protected by copyright laws and

international copyright treaties, as well as other

intellectual property laws and treaties. THIS SOFTWARE is

licensed, and not sold.

7.ITAZ grants to the LICENSEE non-exclusive, personal license

to make and use one copy of THIS SOFTWARE in the

manner provided below and to use THIS SOFTWARE on

following conditions: -

a)load the Software into and use it on a single

computer .

b)the LICENSEE shall not use the Software on to a

network server for the purpose of distribution to one

or more other computer(s) on that network or to

effect such distribution.

c)LICENSEE shall not alter , modify, change, adapt,

provided LICENSEE keep the original solely for

j)THIS SOFTWARE and any related documentation is

provided " As is" to LICENSEE. ITAZ does not

warrant that THIS SOFTWARE will be uninterrupted or

in the Software will be corrected. All express or implied

conditions, representations, conditions, undertakings, terms,

obligations and warranties implied by the statute, law,

usage, course of dealing or otherwise including any implied

warranty or merchantability, satisfactory quality, fitness

for a particular purpose, or non-infringement, are

disclaimed by ITAZ, except to the extent that such

disclaimers are held to be legally invalid. The entire

risk arising out of use or performance of THIS SOFTWARE

remains with LICENSEE.

k)The LICENSEE can terminate this EULA by destroying

all copies of this Software and stop using the

Software. Without prejudice to any other rights, ITAZ

may terminate this EULA if the LICENSEE fails to

comply with the terms and conditions of this EULA.

In such event, LICENSEE must destroy all copies of

THIS SOFTWARE and stop using the Software.

l)ITAZ shall not be liable for any liabilities or damages

including special, direct, indirect or consequential

damages, loss of profits, business interruption, loss

of business information, or any other pecuniary loss

whatsoever arising out of use or inability to use this

Software. Because some states / jurisdictions do not

allow the exclusion or limitation of liability for

consequential or incidental damages, the above

m)This Agreement will be governed by the Law of India
